1. The service
Tamam Technologies Ltd (trading as React-IMS) provides a cloud-based Integrated Management System for ISO compliance. We grant you a non-exclusive, non-transferable, revocable right to access and use the platform for your internal business purposes during the subscription term.
2. Company information
The contracting party under these Terms is Tamam Technologies Ltd, a private limited company incorporated in England and Wales under company number 16897253, with its registered office at 2 Claremont Crescent, Morecambe, LA4 4HH, United Kingdom. We trade as "React-IMS". Correspondence: support@react-ims.com.
3. Accounts and security
You are responsible for safeguarding credentials and for all activity under your account. You must notify us immediately of any suspected unauthorised access.
4. Acceptable use
Your use of the platform is subject to our Acceptable Use Policy. We may suspend accounts that violate it.
5. Customer data
You retain all rights to data you upload ("Customer Data"). You grant us a limited licence to host, process and display Customer Data solely to provide the service. Our processing obligations are set out in the Data Processing Agreement, which is incorporated into these Terms.
6. Fees and payment
Fees are payable in advance per the subscription you select. UK VAT will be added where applicable. Late payments may incur interest at the Bank of England base rate plus 4% per annum. We may suspend access to overdue accounts after written notice.
7. Term and termination
Subscriptions renew automatically for successive terms unless cancelled before renewal. Either party may terminate for material breach not remedied within 30 days of written notice. On termination we will make Customer Data available for export for 30 days, after which it will be deleted.
8. Service availability
We target 99.5% monthly uptime, excluding scheduled maintenance and events outside our reasonable control. Specific service levels for Enterprise customers are set out in the relevant order form.
9. Warranties and disclaimers
We will provide the service with reasonable skill and care. Except as expressly stated, the platform is provided "as is" and we disclaim all other warranties to the fullest extent permitted by law. React-IMS supports your compliance programme but does not itself constitute legal, accounting or certification advice.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, consequential, or special losses, or for loss of profit, revenue, goodwill or anticipated savings. Each party's total aggregate liability under these Terms is capped at the fees paid by you in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes liability for death, personal injury or fraud.
11. Confidentiality
Each party will keep the other's confidential information secret and use it only for the purpose of performing under these Terms.
12. Changes
We may amend these Terms by posting a revised version. Material changes will be notified to account administrators at least 30 days in advance.
13. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that either party may seek injunctive relief in any competent court.
